WinAVI mp4 converter works well for me. In fact, I've used their other DVd converter before getting my iPod - still have it so I guess it means their products are good in my book!
I have use a program called Xilisoft DVD to ipod converter for some time now (over a year) and I love it. Since we are a family of 4 ipod videos I use it quite often and it works like a charm. It does take a while to convert it (like a couple of hours) so generally I do it at night while I sleep. They do have a free trial offer so you can try it out. I also found that most movies before 2004 will convert easy but after 2004 a lot were protected and can't be copied. But I have had no problem with the sound or picture in the converted videos.

I have heard that iTunes does not convert certain types of video files and will often drop the audio.
Try something like iSquint or Videora and let us know if those helped.
